IT Managed Services Provider Terms of Service Agreement

1. Introduction

This IT Managed Services Provider Terms of Service Agreement (hereinafter referred to as the “Agreement”) is made between Series Computers N’ Stuff of Waco (hereinafter referred to as the “Provider”) and the customer (hereinafter referred to as the “Customer”). By using the Provider’s services, the Customer agrees to comply with the terms and conditions set forth in this Agreement.

2. Services

The Provider agrees to offer IT managed services (hereinafter referred to as the “Services”) to the Customer on a month-to-month basis. All Services are to be prepaid by the Customer.

3. Termination

The Customer may terminate this Agreement by providing the Provider with a written notice at least 30 days prior to the desired termination date. Failure to provide such notice will result in the continuation of Services and the obligation to pay for those Services.

4. Prepayment and Service Changes

All Services under this Agreement are prepaid. The Provider reserves the right to change the Services, including their scope and pricing, at any time without notice to the Customer.

5. Invoices and Payment

Invoices for Services will be issued by the Provider and are due upon receipt. Failure to pay an invoice within one (1) business day of receipt may result in the suspension of Services until full payment is received.

6. Acceptance of Terms

By paying any invoices issued by the Provider, the Customer agrees to comply with the terms and conditions set forth in this Agreement.

7. Dispute Resolution and Arbitration

Any disputes, whether billing or legal, arising out of or in connection with this Agreement shall be resolved through binding arbitration in McLennan County, Texas. The Customer agrees to pay all costs associated with the arbitration.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

9. Binding Arbitration

The arbitration decision shall be final and binding on both parties. The Customer agrees to abide by the arbitration ruling and to waive any right to appeal the arbitration decision in any court of law.

10. Entire Agreement

This Agreement constitutes the entire agreement between the Provider and the Customer with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

11. Severability

If any provision of this Agreement is found to be invalid or unenforceable by an arbitrator or court of competent jurisdiction, the remaining provisions will continue in full force and effect.

12. Amendments

The Provider reserves the right to amend this Agreement at any time. Any amendments will be effective immediately upon being posted on the Provider’s website at computersnstuffwaco.com.

By engaging the Provider’s Services and paying invoices, the Customer acknowledges that they have read, understood, and agreed to all the terms and conditions contained in this Agreement.
